Terms of Service

The rules for using NettVend to run your counter, team, and store data.

These Terms of Service (“Terms”) are an agreement between you and NettVend, a product of YMStudio (“we”, “us”, or “our”). By creating an account, inviting staff, or using NettVend in any way, you agree to these Terms. If you do not agree, please do not use the service.

1. What NettVend is

NettVend is offline-first point-of-sale software for businesses. It helps you sell at the counter, manage catalog and stock, invite a team with roles and permissions, track expenses, and see sales insight on a dashboard. Features available to you depend on your business type and the permissions set for each user.

Some features described on our marketing site — such as Online shop — may be marked as coming soon. Those features are not guaranteed until we make them available in the product.

2. Who may use NettVend

You must be able to form a binding contract under the laws that apply to you. NettVend is for business use. If you create a store for a company, you confirm you have authority to bind that business to these Terms.

Store owners are responsible for every account under their workspace, including managers and cashiers they invite.

3. Your account and security

  • Keep your login details private. Do not share owner passwords with people who should not have full control.
  • Use strong passwords, and remove staff access when someone leaves your shop.
  • You are responsible for activity that happens under your store accounts, including sales, refunds, catalog changes, and expenses recorded by your team.
  • Tell us promptly if you believe an account was accessed without permission.

4. Your store data

You own the business data you enter into NettVend — products, sales, customers, expenses, team details you add, and related records. We provide the software and sync tools so that data can run offline on a device and sync to our hosted service when you are online.

You grant us a limited licence to host, copy, process, and display that data only as needed to operate NettVend for you (including backups, sync, support, and security). We do not sell your store data.

You are responsible for the accuracy and legality of what you enter — including prices, tax settings, customer details, pharmacy or serial information, and anything printed or shared on receipts.

5. Acceptable use

You agree not to:

  • Use NettVend for unlawful activity
  • Attempt to break into, overload, scrape, or disrupt our systems or another customer’s store
  • Reverse engineer the product except where the law allows it
  • Upload malware, or content you do not have the right to use
  • Impersonate another person or business, or misuse team invites
  • Resell, sublicense, or white-label NettVend without our written permission

We may suspend or close access if we reasonably believe these Terms were broken, or if needed to protect the service or other users.

6. Payments at the till

NettVend can record payment methods such as cash, card, or mobile money. Recording a method is not the same as processing the payment. Card numbers, PINs, and wallet secrets are not collected by NettVend itself. If you connect or use a third-party payment system, that provider’s terms also apply.

7. Trials, plans, and fees

We may offer a trial period so you can try NettVend before committing. Features, limits, and pricing may change as the product grows. If paid plans apply to your account, we will show the relevant fees and billing details before you are charged. Unpaid amounts or misuse may lead to restricted access.

8. Offline use and sync

Part of NettVend’s value is continuing to sell when the internet drops. Local device storage may hold catalog and sales until sync completes. You are responsible for keeping devices reasonably secure and for reconnecting so data can sync. Conflicts, delayed sync, or device loss can affect what appears in the cloud copy — so treat devices that hold store data with care.

9. Service availability

We work to keep NettVend reliable, but we do not promise uninterrupted access. Hosting, network issues, maintenance, or events outside our control can affect the cloud side of the product. Offline selling may still work on a prepared device when the network is down.

10. Intellectual property

NettVend, our branding, software, and marketing materials belong to us or our licensors. These Terms do not transfer ownership of our intellectual property to you. Your store data remains yours, as described above.

11. Third-party services

NettVend relies on infrastructure providers (for example database hosting, image storage, and email delivery for invites). Your use of NettVend is also subject to our Privacy Policy. Links to other websites, such as YMStudio, are provided for convenience; their terms are separate.

12. Disclaimer

NettVend is provided on an “as is” and “as available” basis. To the fullest extent allowed by law, we disclaim warranties that are not expressly stated in these Terms, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the product will meet every business need or that every report will be free from error.

13. Limitation of liability

To the fullest extent allowed by law, NettVend and YMStudio will not be liable for lost profits, lost sales, lost data, business interruption, or indirect, incidental, special, or consequential damages arising from your use of the service — whether based on contract, tort, or any other theory.

Where liability cannot be excluded, our total liability for claims relating to NettVend is limited to the greater of (a) the fees you paid us for NettVend in the three months before the claim, or (b) zero if you used a free or trial period with no fees paid.

Some places do not allow certain limitations. In those places, our liability is limited to the maximum extent permitted by law.

14. Indemnity

You agree to defend and indemnify NettVend and YMStudio against claims arising from your store’s use of the product, your content, your tax or receipt practices, or your breach of these Terms — except to the extent a claim is caused by our wilful misconduct.

15. Ending your use

You may stop using NettVend at any time. You may also ask us to close a store account by contacting support. We may suspend or end access if these Terms are broken, if required by law, or if we discontinue the service with reasonable notice where practical.

After closure, we handle personal and store data as described in our Privacy Policy. Sections that should survive ending — including ownership, liability limits, and indemnity — will continue to apply.

16. Changes to these Terms

We may update these Terms as NettVend evolves. When we make meaningful changes, we will update the “Last updated” date on this page. Continued use after an update means you accept the revised Terms.
